1. Acceptance of Terms

1.1 The Agreement

These Terms of Use ("Terms") constitute a legally binding agreement between you (whether as a "Casual Visitor," "Employer," or "Candidate") and Cloutra AI, Inc. ("Cloutra," "we," "us," or "our"). By accessing or using the website cloutra.ai, our AI-led Video Interview platform, or any associated recruitment services (collectively, the "Platform"), you agree to be bound by these Terms and our Privacy Policy.

1.2 Eligibility

To use this Platform, you must be a natural person at least 18 years of age. If you are using Cloutra on behalf of a company or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1.3 Modification of Terms

As Cloutra is a dynamic, US-developed AI platform, we may update these Terms to reflect technological advancements or regulatory changes.

  • We will notify you of material changes by posting the updated Terms on this site and updating the Effective Date.
  • Your continued use of the Platform after such changes signifies your acceptance of the revised Terms.

1.4 Specific Audience Terms

Cloutra serves different user groups. Depending on your role, specific clauses within these Terms may apply to you:

  • Employer Customers: Entities using the Suite to source, grade, and assess talent.
  • Candidates: Individuals participating in AI-led interviews or submitting resumes for evaluation.
  • Casual Visitors: Individuals browsing the public-facing sections of the site.

2. Description of Service

Cloutra provides a cloud-based AI Recruitment Suite designed to accelerate the hiring lifecycle through automated intelligence. The Platform includes, but is not limited to, the following core services:

2.1 The AI Recruiter & ATS Grader

Cloutra utilizes proprietary algorithms to analyze, parse, and rank professional documents (resumes, CVs, and portfolios). This service is designed to provide Decision-Ready Intelligence by matching candidate profiles against specific Scorecard Weights provided by the Employer.

2.2 The AI Interviewer (Competency Assessment)

Our Platform facilitates autonomous video and audio interviews where an AI Agent interacts with candidates. This service includes the recording, transcription, and automated evaluation of candidate responses to verify Experience Authenticity.

2.3 Platform Updates & "Planned Downtime"

As an AI-driven platform developed in the US, Cloutra is subject to continuous improvement.

  • Modifications: We reserve the right to modify, update, or discontinue any feature of the Platform at any time to enhance performance or security.
  • Availability: While we strive for 24/7 Recruitment Momentum, we do not guarantee that the Service will be uninterrupted.

2.4 No Guarantee of Employment

  • For Candidates: Use of the Platform or completion of an AI Interview does not guarantee employment or a response from an Employer.
  • For Employers: Cloutra provides data-driven insights, but the final responsibility for hiring decisions remains entirely with the Employer.

3. User Accounts & Security

3.1 Account Creation

To access the AI Recruitment Suite, you must create a secure account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.

3.2 Responsibility for Credentials

You are solely responsible for maintaining the confidentiality of your login credentials (username and password).

  • For Employers: You are responsible for all activities that occur under your corporate account, including actions taken by individual recruiters or team members you authorize.
  • For Candidates: Your account is personal to you. You may not share your login details or allow any other person to access the Platform to perform an interview on your behalf.

3.3 Simultaneous Login Restrictions

In alignment with our Security-First architecture and to prevent unauthorized sharing of our proprietary AI tools, Cloutra may restrict or block simultaneous logins from different IP addresses or devices under a single set of credentials.

3.4 Notification of Unauthorized Use

You must immediately notify Cloutra at security@cloutra.ai if you suspect any unauthorized use of your account or any other breach of security.

3.5 Account Termination by Cloutra

We reserve the right to suspend or terminate your account at our sole discretion, without notice, if we believe you have violated these Terms, provided false information, or engaged in any activity that threatens the 100% Data Integrity of our Platform.

4. Acceptable Use Policy

To maintain 100% Data Integrity and ensure a fair experience for all users, you agree to abide by the following rules when using the Cloutra Platform.

4.1 Prohibited Conduct for All Users

You agree not to:

  • Reverse Engineer: Attempt to decompile, disassemble, or reverse engineer any part of Cloutra's proprietary AI models.
  • Scrape Data: Use automated systems (robots, spiders, or scrapers) to extract data from the Platform without our express written consent.
  • Circumvent Security: Interfere with or circumvent any security feature or proctoring protocol designed to verify user identity.

4.2 Candidate-Specific Rules (Anti-Cheating)

  • Identity Integrity: You are the person you claim to be. Using Deepfakes, voice-cloning, or having another person perform the interview on your behalf is strictly prohibited.
  • No External Assistance: You will not use unauthorized third-party aids during the autonomous interview session.
  • No Unauthorized Recording: You may not record, screen-capture, or distribute the AI Agent's questions or the interview interface.

4.3 Employer-Specific Rules (Fair Hiring)

  • Non-Discriminatory Scoring: Use the Scorecard Weights and ATS tools in compliance with all applicable labor and anti-discrimination laws.
  • Professional Use: Use the Platform only for legitimate recruitment and professional evaluation purposes.

4.4 Enforcement & Penalties

  • Flagging: Our AI may automatically flag sessions that show signs of proctoring violations.
  • Action: Failure to comply may result in immediate suspension, the voiding of interview results, and potential legal action.

5. Intellectual Property Rights

5.1 Cloutra's Intellectual Property

The Platform, including its AI Recruitment Suite, ATS Grader, and AI Interviewer modules, is owned and operated by Cloutra AI, Inc. All software, algorithms, AI models, website design, text, graphics, logos, and evaluation frameworks are the exclusive intellectual property of Cloutra.

5.2 Limited License to Use

Subject to your compliance with these Terms, Cloutra grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended professional recruitment purposes.

  • Copy, modify, or create derivative works of our AI models.
  • Use the Cloutra name or branding in a way that suggests a partnership or endorsement without our written consent.

5.3 User-Generated Content & Data Ownership

  • Client Data: Employers retain all rights, title, and interest in the job descriptions, company branding, and specific Scorecard Weights they upload.
  • Candidate Data: Candidates retain ownership of their original resumes and personal identity.
  • License to Cloutra: By submitting data, you grant Cloutra a worldwide, royalty-free license to host, store, and process this data strictly to provide the Services.

5.4 Feedback & Suggestions

If you provide Cloutra with any suggestions, enhancement requests, or feedback, you agree that Cloutra may use such feedback for any purpose without compensation or obligation to you.

6. Termination & Suspension

6.1 Termination by You

  • Employers: To terminate your subscription and avoid future billing, follow the cancellation process in your Service Agreement or Dashboard settings.
  • Candidates: You may request deletion of your account and associated data as outlined in our Privacy Policy.

6.2 Suspension or Termination by Cloutra

  • Breach of Terms: Any violation of the Acceptable Use Policy such as proctoring fraud or reverse engineering.
  • Non-Payment: Failure to pay subscription fees or Force Multiplier credits when due.
  • Platform Integrity: If we believe your actions pose a technical or legal threat to Cloutra or other users.

6.3 Effect of Termination

  • Access Ceases: Your right to use the Platform will immediately end.
  • Data Handling: Cloutra will handle your data in accordance with our Privacy Policy.
  • Surviving Provisions: Sections regarding Intellectual Property, Limitation of Liability, Indemnification, and Governing Law will survive termination.

7. Disclaimers & Limitation of Liability

7.1 "As-Is" and "As-Available" Service

The Cloutra Platform and its AI Recruitment Suite are provided on an as-is and as-available basis. To the maximum extent permitted by law, Cloutra expressly disclaims all warranties of any kind, whether express or implied.

7.2 AI Accuracy Disclaimer

  • Algorithmic Nature: AI-generated scores, transcriptions, and ATS rankings are based on probabilistic models and should be used as one of many factors in a hiring decision.
  • No Guarantee of Error-Free Results: We do not warrant that the AI Agent's evaluations will be perfectly accurate.

7.3 Limitation of Liability

  • Loss of Profits: Any lost business opportunities or revenue resulting from a hiring decision.
  • Data Loss: Any corruption or loss of candidate data, except as required by our Privacy Policy.
  • Employment Outcomes: Cloutra is not liable for the failure of a candidate to secure a job or an employer to find a suitable hire.

7.4 Cap on Liability

In no event shall Cloutra's total liability to you for all claims exceed the amount paid by you to Cloutra in the six (6) months preceding the event giving rise to the claim (or $100 USD, whichever is greater).

8. Indemnification

You agree to indemnify, defend, and hold harmless Cloutra AI, Inc., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

8.1 Your Use of the Platform

Any claim resulting from your access to or use of the AI Recruitment Suite, including any hiring decisions made by an Employer or any data submitted by a Candidate.

8.2 Breach of Terms

Any violation by you of these Terms of Use, specifically including violations of the Acceptable Use Policy such as proctoring fraud, identity misrepresentation, or unauthorized data scraping.

8.3 Infringement of Rights

Any claim that the content you submitted caused damage to a third party or violated the intellectual property, privacy, or publicity rights of another person or entity.

8.4 Regulatory Non-Compliance

For Employers, any claim arising from your failure to comply with local labor laws, data protection acts (such as GDPR), or anti-discrimination regulations in your use of the ATS Grader or interview evaluations.

9. Governing Law & Dispute Resolution

9.1 Governing Law

These Terms of Use and your use of the Platform shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

9.2 Informal Resolution

Before filing a formal legal claim, you agree to try to resolve the dispute informally by contacting info@cloutra.com. We will attempt to resolve the matter within 30 days of receiving your notice.

9.3 Binding Arbitration

  • Location: The arbitration shall take place in the United States, in the jurisdiction where Cloutra is headquartered.
  • Language: The proceedings shall be conducted in English.
  • Finality: The arbitrator's decision shall be final and binding on all parties.

9.4 Class Action Waiver

  • No arbitration or proceeding shall be joined with any other.
  • There is no right or authority for any dispute to be arbitrated on a class-action basis.

9.5 Exception for Injunctive Relief

Cloutra reserves the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of our intellectual property rights.
